1. Acceptance of Terms

These Terms apply to all visitors, users, customers, and others who access or use our services.

• Online Ordering: Customers may browse our menu and place orders for pickup or delivery through our website at eastcoast-cafe.rest or through authorized third-party delivery platforms.
• In-Store Dining: Where available, customers may dine in at our physical location(s) subject to availability and applicable health and safety regulations.
• Takeout and Pickup: Customers may place orders in advance for pickup at our designated location(s).
• Delivery Services: Delivery availability is subject to geographic limitations, minimum order requirements, and third-party delivery partner terms and conditions.
• Catering and Special Orders: We may offer catering services and special bulk orders for events, gatherings, and corporate occasions, subject to availability and advance notice requirements.
• Promotions and Loyalty Programs: From time to time, we may offer promotional deals, discount codes, loyalty rewards, or other incentive programs, which are subject to their own specific terms and conditions.
• Customer Support: We provide customer service assistance via email and other communication channels to address inquiries, complaints, and order-related matters.

We reserve the right to modify, suspend, or discontinue any aspect of our services at any time without prior notice. We shall not be liable to you or any third party for any modification, suspension, or discontinuance of services. 3.1 User Obligations

• Reproducing, duplicating, copying, selling, reselling, or exploiting any portion of the Site or its content for commercial purposes without our express written permission.

We reserve the right to investigate and take appropriate legal and/or administrative action against anyone who, in our sole discretion, violates this provision, including without limitation removing offending content, suspending or terminating accounts, and reporting violations to law enforcement authorities.

4. Intellectual Property Rights

All content, materials, and intellectual property on the Site, including but not limited to text, graphics, logos, images, photographs, audio clips, digital downloads, data compilations, software, trade names, service marks, and the overall design and layout of the Site (collectively, "Content"), are the exclusive property of East Coast Wings or its licensors and are protected by applicable United States and international intellectual property laws, including the Copyright Act (17 U.S.C. § 101 et seq.), the Lanham Act (15 U.S.C. § 1051 et seq.), and other applicable intellectual property statutes and regulations.

Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Site solely for your personal, non-commercial purposes. This license does not include the right to:

5. Payment Terms

5.1 Pricing and Fees

All prices displayed on our Site are in United States Dollars (USD) and are subject to applicable federal, state, and local taxes. Prices may change at any time without prior notice. The price charged for an order will be the price in effect at the time the order is placed.

5.2 Payment Methods

We accept major credit and debit cards (Visa, Mastercard, American Express, Discover), and other payment methods as indicated on the checkout page. By providing your payment information, you represent and warrant that you are authorized to use the designated payment method and authorize us to charge the total order amount to that payment method.

5.3 Order Confirmation and Processing

Your order is not confirmed until you receive an order confirmation email or on-screen confirmation. We reserve the right to cancel or refuse any order at any time for reasons including but not limited to product unavailability, errors in pricing or product description, or suspected fraud. If we cancel your order after payment has been processed, we will issue a full refund using the original payment method.

5.4 Refund and Cancellation Policy

Due to the perishable nature of food products, all sales are generally final. We will, however, consider refund or replacement requests in the following circumstances:

• The order was incorrectly prepared or did not match the description on the menu.
• The food was delivered in an unsafe or unsanitary condition.
• A significant portion of the order was missing.

Refund or replacement requests must be submitted within twenty-four (24) hours of receiving your order by contacting us at [email protected]. We reserve the right to request photographic evidence to process your request. Approved refunds will be processed within five (5) to seven (7) business days.

5.5 Taxes

You are responsible for all applicable sales taxes, use taxes, and any other taxes or fees associated with your purchase as required by applicable law. Tax rates may vary depending on your location and the nature of the items ordered.

6. Disclaimer of Warranties

• Any implied warranties of merchantability, fitness for a particular purpose, title, or non-infringement.
• Any warranties that the Site will be uninterrupted, error-free, secure, or free of viruses or other harmful components.
• Any warranties regarding the accuracy, reliability, completeness, or timeliness of any content on the Site.
• Any warranties that defects will be corrected or that the Site or the server that makes it available are free of viruses or other harmful components.
• Any warranties relating to the quality, safety, or suitability of food products for individuals with specific dietary requirements, allergies, or medical conditions.

We make no warranty that our food products will be free from allergens or cross-contamination. Customers with food allergies, dietary restrictions, or medical conditions are solely responsible for reviewing ingredient information and consulting with a healthcare professional before consuming our products. While we make reasonable efforts to accommodate dietary needs, we cannot guarantee the complete absence of any allergen.

Some jurisdictions do not allow the exclusion of implied warranties, so some of the above exclusions may not apply to you. In such cases, our liability will be limited to the maximum extent permitted by applicable law.

7. Limitation of Liability

In no event shall our total liability to you for all damages, losses, and causes of action arising out of or related to these Terms or your use of the Site or services exceed the greater of: (a) the total amount you paid to East Coast Wings in the ninety (90) days immediately preceding the event giving rise to the claim; or (b) One Hundred Dollars ($100.00 USD).

This limitation of liability applies to all claims, whether based in contract, tort (including negligence), strict liability, or any other legal theory. The foregoing limitation of liability shall apply to the fullest extent permitted by law in the applicable jurisdiction.

Certain states, including New Jersey and Massachusetts, do not allow the exclusion or limitation of certain damages. If these laws apply to you, some or all of the above disclaimers, exclusions, or limitations may not apply, and you may have additional rights.

8. Indemnification

You agree to defend, indemnify, and hold harmless East Coast Wings, its parent company, subsidiaries, affiliates, officers, directors, employees, agents, partners, contractors, licensors, and suppliers (collectively, the "Indemnified Parties") from and against any and all claims, liabilities, damages, judgments, awards, losses, costs, expenses, and fees (including reasonable attorneys' fees and court costs) arising out of or relating to:

• Your violation of these Terms or any other policies referenced herein.
• Your use of the Site or services in a manner not authorized by these Terms.
• Your violation of any applicable federal, state, or local law, regulation, or ordinance.
• Your infringement of any third-party intellectual property rights, privacy rights, or other proprietary rights.
• Any content, information, or materials you submit, post, or transmit through the Site.
• Your negligence, fraud, willful misconduct, or misrepresentation.
• Any dispute arising between you and a third party in connection with your use of our services.

We reserve the right, at our own expense, to assume the exclusive defense and control of any matter otherwise subject to indemnification by you, in which event you will cooperate with us in asserting any available defenses. You agree not to settle any such matter without our prior written consent. This indemnification obligation will survive the termination of these Terms and your use of our services.

9. Governing Law and Jurisdiction

These Terms shall be governed by and construed in accordance with the laws of the United States and the applicable laws of the state in which East Coast Wings operates, without regard to its conflict of law principles. The Federal Arbitration Act, federal arbitration law, and the laws of the applicable state shall govern the interpretation and enforcement of these Terms.

To the extent that any dispute is not subject to arbitration as provided in Section 10, you agree to submit to the personal and exclusive jurisdiction of the state and federal courts located within the United States and consent to venue in such courts. You waive any objection to the laying of venue of any such proceeding in such courts and waive any objection that such courts are an inconvenient forum.

The United Nations Convention on Contracts for the International Sale of Goods does not apply to these Terms. The Uniform Computer Information Transactions Act (UCITA) shall not apply to these Terms regardless of when or where adopted.

Our services are intended for use by persons located in the United States. We make no representations that the Site or services are appropriate or available for use in other locations. If you access the Site from outside the United States, you do so at your own risk and are responsible for compliance with all applicable local laws.

10. Dispute Resolution

10.1 Informal Resolution

Before initiating any formal legal proceeding, you agree to first attempt to resolve any dispute, claim, or controversy arising out of or relating to these Terms or our services informally by contacting us at [email protected]. We will attempt to resolve the dispute informally within thirty (30) calendar days of receiving your written notice. If the dispute is not resolved within that period, either party may proceed with the formal dispute resolution process described below.

10.2 Binding Arbitration

PLEASE READ THIS SECTION CAREFULLY. IT AFFECTS YOUR LEGAL RIGHTS, INCLUDING YOUR RIGHT TO FILE A LAWSUIT IN COURT.

Except as provided in Section 10.3, any dispute, claim, or controversy arising out of or relating to these Terms or the breach, termination, enforcement, interpretation, or validity thereof, or to the use of our services (collectively, "Disputes") shall be resolved exclusively through final and binding individual arbitration, rather than in court. Arbitration shall be conducted by JAMS (Judicial Arbitration and Mediation Services) under its applicable rules, which are available at www.jamsadr.com. The arbitration shall be conducted in English and shall take place in the United States unless otherwise agreed by the parties.

The arbitrator shall have exclusive authority to resolve any Dispute, including any claim that all or any part of these Terms are void or voidable. The arbitrator may award the same damages and relief that a court could award. The arbitrator's award shall be final and binding and may be entered as a judgment in any court of competent jurisdiction.

You understand and agree that by agreeing to arbitration, you are waiving your right to a jury trial and your right to participate in a class action lawsuit or class-wide arbitration.

10.3 Exceptions to Arbitration

Notwithstanding the foregoing, either party may seek injunctive or other equitable relief in a court of competent jurisdiction to prevent the actual or threatened infringement, misappropriation, or violation of a party's intellectual property rights, privacy rights, or other proprietary rights, or to enforce any arbitration award.

10.4 Class Action Waiver

YOU AND EAST COAST WINGS AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN AN INDIVIDUAL CAPACITY, AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS, COLLECTIVE, CONSOLIDATED, OR REPRESENTATIVE PROCEEDING. If this class action waiver is found to be unenforceable, then the entirety of the arbitration agreement in Section 10.2 shall be null and void.

10.5 Time Limitation on Claims

TO THE EXTENT PERMITTED BY APPLICABLE LAW, ANY CLAIM OR CAUSE OF ACTION ARISING OUT OF OR RELATED TO THESE TERMS OR THE USE OF OUR SERVICES MUST BE FILED WITHIN ONE (1) YEAR AFTER SUCH CLAIM OR CAUSE OF ACTION AROSE. CLAIMS FILED AFTER THIS ONE-YEAR PERIOD SHALL BE PERMANENTLY BARRED.

11. Term and Termination

These Terms are effective from the date you first access the Site or use our services and shall remain in full force and effect until terminated in accordance with this section.

You may terminate your relationship with East Coast Wings at any time by ceasing to use the Site and, if applicable, by closing your account in accordance with the account deletion procedures available on the Site.

We reserve the right, in our sole discretion, to suspend or terminate your access to all or any part of the Site and our services, with or without notice, for any reason or no reason, including but not limited to:

• Your violation of any provision of these Terms or any other applicable policy.
• Your engagement in fraudulent, abusive, or illegal activities.
• Requests from law enforcement or other government authorities.
• Technical, security, or operational issues requiring service interruption.
• Extended periods of account inactivity.
• Discontinuation of our services or any portion thereof.

Upon termination, your right to access and use the Site and our services will immediately cease. All provisions of these Terms which by their nature should survive termination shall survive, including without limitation: ownership provisions, warranty disclaimers, indemnification obligations, limitations of liability, dispute resolution provisions, and governing law provisions.

We shall not be liable to you or any third party for any termination of your access to the Site or our services. Any outstanding payment obligations you have incurred prior to termination shall remain due and payable.

If any provision of these Terms is held by a court of competent jurisdiction or an arbitrator to be invalid, illegal, unenforceable, or in conflict with any applicable law, such provision shall be deemed modified to the minimum extent necessary to make it valid, legal, and enforceable, consistent with the intent of the original provision. If such modification is not possible, the invalid, illegal, or unenforceable provision shall be severed from these Terms, and the remaining provisions shall continue in full force and effect.

The invalidity or unenforceability of any particular provision of these Terms shall not affect the validity or enforceability of any other provisions hereof, and these Terms shall be construed in all respects as if such invalid or unenforceable provision were omitted.

No waiver by East Coast Wings of any term or condition set forth in these Terms shall be deemed a further or continuing waiver of such term or condition, and any failure by East Coast Wings to assert a right or provision under these Terms shall not constitute a waiver of such right or provision. A waiver shall only be effective if it is in writing and signed by an authorized representative of East Coast Wings.

14. Additional Legal Provisions

14.1 Entire Agreement

These Terms, together with our Privacy Policy and any other legal notices or agreements published by us on the Site, constitute the entire agreement between you and East Coast Wings with respect to the subject matter hereof and supersede all prior and contemporaneous understandings, agreements, representations, and warranties, both written and oral, regarding such subject matter.

14.2 No Agency Relationship

Nothing in these Terms shall be construed to create a partnership, joint venture, employment, franchise, or agency relationship between you and East Coast Wings. Neither party has the authority to bind the other or to incur any obligation on behalf of the other.

14.3 Force Majeure

East Coast Wings shall not be liable for any delay or failure to perform resulting from causes beyond our reasonable control, including but not limited to acts of God, natural disasters, pandemics, epidemics, government actions, labor disputes, strikes, supply chain disruptions, utility failures, cyberattacks, or any other event beyond our reasonable control. In the event of a force majeure event, we will make reasonable efforts to notify customers and resume services as soon as practicable.

14.4 Assignment

You may not assign, transfer, sublicense, or delegate any of your rights or obligations under these Terms without the prior written consent of East Coast Wings. East Coast Wings may assign, transfer, or delegate these Terms or any of its rights and obligations hereunder at any time without your consent, including in connection with a merger, acquisition, sale of assets, or operation of law. Any attempted assignment in violation of this provision shall be null and void.

Any notices or communications required or permitted under these Terms shall be in writing and shall be sent to East Coast Wings at the contact information provided below. Notices to you may be sent to the email address associated with your account or posted on the Site. Notices shall be deemed given upon receipt when delivered personally, within twenty-four (24) hours when sent by email with confirmation of receipt, or within three (3) business days when sent by certified mail.
